CUSTOMER TERMS & CONDITIONS
For the provision of appointment-based consultation services
PART I — LEGAL STATUS, DEFINITIONS AND CONTRACT FORMATION
1.1 Legal Identity and Contracting Entity
These Terms and Conditions constitute a legally binding agreement between the client (“you”, “your”) and AdScent Ltd, a company incorporated in England and Wales under company number 14000401, trading as my Geisha (“we”, “us”, “our”).
All services are provided exclusively under the trading name my Geisha, which functions as a trading style and does not constitute a separate legal entity. Any contractual rights or obligations arising from bookings, attendance, payments or transactions are strictly between the client and AdScent Ltd.
1.2 Nature of Agreement and Commercial Classification
This agreement governs the provision of appointment-based consultation services delivered in person at our Milton Keynes location.
The primary contractual subject matter is the provision of a consultation service, comprising allocated time, professional expertise, retail environment access, and structured advisory engagement.
Any redemption mechanism, promotional benefit, or product purchasing opportunity arising from attendance is strictly ancillary and does not alter the fundamental classification of the agreement as a service contract.
For the avoidance of doubt, this agreement does not constitute:
a financial product,
a stored value instrument,
an electronic money product,
a gift card scheme, or
a deposit-based savings mechanism.
1.3 Definitions and Interpretative Framework
For the purposes of these Terms and Conditions, the following definitions apply.
“Reservation Fee” means the payment made at the time of booking to secure an appointment and to obtain access to the consultation service.
“Consultation Service” means the in-person advisory experience provided by my Geisha, including but not limited to fragrance consultation, beauty refinement guidance, gifting curation, and related experiential advisory services.
“Redemption Benefit” means a discretionary commercial allowance, where applicable, offered by my Geisha following completion of a Consultation Service, which may be applied toward qualifying product purchases in accordance with these Terms.
“Qualifying Purchase” means eligible retail products available at the time of redemption, excluding any categories expressly excluded by us, including but not limited to gift cards, vouchers, promotional credits, or third-party financial instruments.
“Booking Holder” means the individual who completes the booking transaction and assumes responsibility for the appointment.
“Guest” means any accompanying individual attending the appointment at the invitation of the Booking Holder.
“Appointment” means the scheduled time allocated for delivery of the Consultation Service.
1.4 Contract Formation and Timing
A binding contract is formed at the point at which the Reservation Fee is successfully processed and booking confirmation is issued.
At that point, we undertake to provide a Consultation Service at the agreed time and location, and you undertake to attend or otherwise comply with the cancellation and attendance obligations set out in these Terms.
The Reservation Fee is deemed fully earned upon completion or attempted completion of the Appointment, irrespective of whether any purchase is subsequently made.
1.5 Order of Precedence
In the event of any inconsistency between:
these Terms and Conditions,
service-specific booking descriptions, or
any verbal or informal communication by representatives,
these Terms and Conditions shall prevail unless expressly required otherwise by applicable law.
1.6 Statutory Rights
Nothing in these Terms limits or excludes your statutory rights as a consumer under applicable law, including the Consumer Rights Act 2015 and Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
PART II — SERVICE STRUCTURE AND APPOINTMENT GOVERNANCE
2.1 Service Model
All services offered by my Geisha are structured as time-limited, appointment-based consultation experiences delivered exclusively in person.
Each Appointment is individually prepared and allocated, involving reserved advisor time, environmental preparation, and service-specific consultation structuring.
2.2 Service Categories
The following services are offered:
Your Fragrance Dream Revelation
Your Beauty Refinement Journey
Your World of Expressions
Your Signature Bridal Memory
Each service constitutes a distinct Consultation Service with its own advisory focus, duration parameters, and experiential structure.
2.3 Guests and Attendance Rights
The Booking Holder may attend with accompanying Guests subject to capacity limits and operational discretion.
Guests attend solely as companions of the Booking Holder and do not acquire independent contractual rights against my Geisha.
We reserve the right to limit Guest attendance where necessary to preserve service quality, safety, or operational conditions.
2.4 Service Discretion and Advisory Variability
All Consultation Services are delivered based on professional judgement, environmental conditions, product availability, and client interaction.
While we aim to provide a consistent luxury consultation experience, the precise structure, sequencing, and product availability within each Appointment may vary.
No guarantee is made regarding specific outcomes, recommendations, or product suitability.
PART III — RESERVATION FEES AND REDEMPTION ARCHITECTURE
3.1 Reservation Fee Nature
The Reservation Fee constitutes payment for the Consultation Service and for the allocation of dedicated appointment capacity.
It represents consideration for professional time, advisory engagement, and structured service delivery.
The Reservation Fee is not a voucher, store credit, stored value product, or financial instrument.
3.2 Redemption Benefit Structure
Where offered, a Redemption Benefit may be made available following completion of a Consultation Service.
The Redemption Benefit constitutes a separate contractual commercial allowance and does not alter the nature of the Reservation Fee.
The Redemption Benefit may only be applied toward Qualifying Purchases made in accordance with these Terms.
3.3 Legal Separation of Fee and Benefit
The Reservation Fee and Redemption Benefit are contractually distinct.
The existence, modification, or non-use of a Redemption Benefit shall not affect the legal status of the Reservation Fee, which remains payment for the Consultation Service.
3.4 Redemption Non-Cash Status
The Redemption Benefit has no cash value and cannot be redeemed for monetary refund, cash equivalent, or financial transfer.
It is not transferable unless expressly authorised by my Geisha in writing.
3.5 Redemption Validity Period
Any unused Redemption Benefit must be utilised within thirty calendar days of the Appointment date, after which it shall automatically expire.
Expired balances shall not be reinstated.
3.6 Redemption Application Rules
Redemption may be applied at point of purchase against eligible products.
Where multiple transactions occur, redemption may be applied across transactions at our discretion, provided the total allocation does not exceed the available balance.
Where a product is returned, redemption adjustments may be applied in accordance with the Returns and Redemption Adjustment provisions of these Terms.
3.7 Returns Interaction Principle (Core Rule)
Where a purchase made using a Redemption Benefit is returned, my Geisha may, at its discretion and subject to condition assessment, restore the redeemed value as a new Redemption Benefit rather than issuing a monetary refund.
This principle applies only to discretionary returns and does not affect statutory rights relating to faulty or non-conforming goods.
PART IV — BOOKING, CANCELLATION, NO-SHOW AND ATTENDANCE RULES
4.1 Booking Process and Confirmation
Appointments are made through the official my Geisha booking system. A booking is only confirmed once the Reservation Fee has been successfully received and a confirmation has been issued.
We reserve the right to decline or cancel any booking where payment is not successfully processed, where fraud risk is suspected, or where operational capacity is exceeded.
Once confirmed, the Appointment time is reserved exclusively for the Booking Holder and allocated Guests within the agreed parameters.
4.2 Consumer Contract and Timing of Performance
By booking an Appointment, you expressly request that performance of the Consultation Service begins on the scheduled Appointment date.
You acknowledge that the service is time-specific and capacity-limited, and that the allocation of appointment time, preparation, and advisor scheduling begins immediately upon booking confirmation.
This has implications under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, particularly where services are scheduled for immediate or near-term performance.
4.3 Cancellation Framework
Cancellations and rescheduling requests are assessed based on notice period and operational impact.
Where a cancellation or rescheduling request is made more than forty-eight hours prior to the Appointment, we will generally accommodate a reschedule without penalty, subject to availability.
Where notice is given between twenty-four and forty-eight hours prior to the Appointment, we may, at our discretion, permit a single reschedule without forfeiture of the Reservation Fee.
Where notice is given less than twenty-four hours prior to the Appointment, the Reservation Fee may be retained in full, reflecting the allocation of appointment capacity and loss of opportunity to reallocate that time.
This structure reflects the commercially time-sensitive nature of appointment-based luxury services and is applied to preserve operational viability and fairness across bookings.
4.4 No-Show Policy
Where a Booking Holder fails to attend an Appointment without prior notice, the Appointment shall be treated as a no-show.
In such circumstances, the Reservation Fee shall be retained in full, as the Consultation Service capacity has been allocated and cannot reasonably be re-sold or reallocated at short notice.
Repeated no-shows may result in refusal of future booking requests.
4.5 Late Arrival and Reduced Service Delivery
Clients are expected to arrive at the scheduled time of their Appointment.
A short grace period may be permitted at our discretion; however, arrival beyond this period may result in a reduced Consultation Service duration.
Appointments will not extend beyond the scheduled end time, regardless of late arrival.
Where significant delay occurs, we reserve the right to treat the Appointment as partially or fully fulfilled, reflecting the time-based nature of the service.
4.6 Discretion and Operational Fairness
Where exceptional circumstances arise, including but not limited to medical emergencies or unforeseen travel disruption, we may exercise discretion in relation to cancellation, rescheduling, or retention of the Reservation Fee.
Such discretion is applied on a case-by-case basis and does not constitute a waiver of our general policy framework.
Repeated or systemic abuse of discretionary flexibility may result in stricter enforcement of cancellation terms.
4.7 Guest Attendance Control
Guests attending an Appointment are subject to the same behavioural and operational standards as the Booking Holder.
We reserve the right to limit Guest participation where their presence disrupts the Consultation Service, compromises safety, or affects other clients or operational conditions.
Guest attendance does not create any independent contractual relationship with my Geisha.
4.8 Service Refusal and Termination of Appointment
We reserve the right to refuse, suspend, or terminate an Appointment where necessary to maintain safety, protect staff, ensure service quality, or address unreasonable behaviour.
In such cases, the Reservation Fee may be retained where the Consultation Service has commenced or where reasonable allocation of time and resources has occurred.
4.9 Booking Integrity and Allocation Principle
Each Appointment is reserved specifically for the Booking Holder at the time of booking.
Appointments are not transferable unless expressly authorised by my Geisha.
Any attempted transfer or resale of an Appointment without authorisation may result in cancellation without compensation.
PART V — PRODUCT PURCHASES, REDEMPTION APPLICATION, RETURNS AND CREDIT ADJUSTMENTS
5.1 Nature of Product Transactions
All product purchases made following a Consultation Service constitute separate retail transactions distinct from the Consultation Service itself.
The purchase of products does not form part of the Reservation Fee contract, and the Reservation Fee does not operate as payment toward goods unless a Redemption Benefit is expressly applied in accordance with these Terms.
5.2 Qualifying Purchases and Redemption Use
Where a Redemption Benefit is available, it may be applied at the point of purchase toward Qualifying Purchases.
A Qualifying Purchase refers solely to physical retail products offered by my Geisha at the time of transaction, subject to availability and exclusion criteria determined by us.
Redemption may not be applied to non-product items including but not limited to delivery charges, third-party fees, promotional instruments, or any excluded category communicated at point of sale.
5.3 Redemption Application Across Transactions
Where a Redemption Benefit exceeds the value of a single transaction, any remaining balance may, at our discretion, be applied to subsequent qualifying transactions within the validity period.
Where multiple transactions occur, redemption allocation may be structured operationally to reflect inventory availability, system constraints, or transaction sequencing, provided the total value applied does not exceed the available Redemption Benefit.
5.4 Product Availability and Substitution
All products are subject to availability at the time of purchase or fulfilment.
Where a product is unavailable, my Geisha may offer substitution, delayed fulfilment, or alternative arrangements.
Recommendations provided during a Consultation Service do not guarantee stock reservation or product availability.
5.5 Returns and Statutory Rights
Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015.
Where goods are faulty, not as described, or otherwise non-conforming, you are entitled to remedies in accordance with applicable law, which may include repair, replacement, or refund.
5.6 Discretionary Returns and Redemption Adjustments
Where a return is accepted on a discretionary basis outside of statutory entitlement, and where a Redemption Benefit was applied to the original purchase, my Geisha may restore the redeemed value as a new Redemption Benefit rather than issuing a monetary refund.
Any such restoration is subject to condition assessment of the returned goods and operational verification.
Where items are returned in incomplete condition, including missing components, used samples where relevant, or absent complimentary items provided at the time of sale, my Geisha reserves the right to refuse restoration of the Redemption Benefit.
5.7 Samples, Gifts and Complimentary Items in Returns
Any samples, gifts, promotional items, or complimentary goods provided in connection with a purchase are deemed integral to the transaction experience and must be returned where reasonably applicable in the event of a discretionary return request.
Such items have no independent monetary value and are not treated as separate goods for refund purposes.
5.8 Anti-Abuse and Redemption Integrity
We reserve the right to refuse, adjust, or reverse Redemption Benefit application where we reasonably believe that:
the Redemption Benefit has been used in a manner inconsistent with its intended purpose,
a return is being used to extract monetary value from a non-cash entitlement, or
there is evidence of systematic or repeated abuse of the redemption structure.
Such decisions are made in good faith and in order to preserve the integrity of the consultation-based commercial model.
5.9 Out-of-Stock Redemption Protection
Where a specific product intended for redemption is unavailable, my Geisha may allow the Redemption Benefit to be applied to a future supply of that product or an equivalent alternative, subject to availability and operational discretion.
5.10 Separation of Consultation and Retail Contract
For clarity, the Consultation Service and any subsequent product purchase constitute separate contractual arrangements.
The Consultation Service is fully performed upon completion of the Appointment.
Product purchases constitute independent retail transactions governed by applicable consumer law and these Terms.
PART VI — BRIDAL SERVICE GOVERNANCE (YOUR SIGNATURE BRIDAL MEMORY)
6.1 Nature of Bridal Service
Your Signature Bridal Memory is a specialised, appointment-based consultation service designed for bridal fragrance planning, gifting curation, and sensory memory mapping in relation to a wedding or equivalent ceremonial event.
The service is advisory and experiential in nature and does not constitute wedding planning services, event management services, or any regulated professional coordination function.
All guidance provided is based on consultation, preference discovery, and product expertise at the time of the Appointment.
6.2 Minimum Planning Horizon and Suitability
Due to the structured and multi-layered nature of bridal consultation work, clients are expected to provide reasonable advance notice of their wedding date or intended event timeframe at the time of booking.
Where insufficient lead time is provided, certain elements of the service may be limited or adapted to fit operational constraints.
We do not guarantee full delivery of all bridal service components where booking occurs at short notice relative to the event date.
6.3 Staged Consultation Structure
The Bridal Service may be delivered as a structured consultation pathway, which can include an initial consultation and, where appropriate, follow-up appointments.
Any follow-up sessions are subject to availability and do not form an automatic contractual entitlement unless expressly confirmed at the time of booking.
Each stage of the Bridal Service is treated as part of a single overarching consultation journey, rather than a series of separate service contracts.
6.4 Bridal Timeline and Memory Framework
Where bridal consultation involves fragrance planning across multiple ceremonial moments, including pre-wedding, ceremony, and post-wedding usage, recommendations are based on the wedding timeline disclosed by the client.
If the wedding date or event structure materially changes after consultation, my Geisha is not obligated to revise or reconstruct previously provided recommendations without a new consultation booking.
6.5 Bridal Redemption Application
Where a Redemption Benefit is available within the Bridal Service, it may be applied toward qualifying bridal-related product purchases, including gifting arrangements and ceremonial fragrance selections.
Redemption may be distributed across multiple bridal purchases where operationally appropriate, subject to expiry rules and availability.
6.6 Bridal Party and Third-Party Participation
Where third parties such as wedding planners, family members, or bridal parties are present, they attend solely as guests of the Booking Holder.
No contractual relationship arises between my Geisha and any third-party attendee.
Decisions regarding fragrance selection, gifting, and purchase remain the sole responsibility of the Booking Holder unless expressly delegated at the time of consultation.
6.7 Bridal Cancellations and Rescheduling Sensitivity
Given the time-sensitive nature of bridal services, cancellations or rescheduling requests may be subject to stricter operational constraints.
Where significant preparation has already been undertaken, including advisory planning or staged consultation allocation, cancellation may result in retention of the Reservation Fee in full.
Discretion may be exercised in exceptional circumstances, but is not guaranteed.
6.8 Bridal Expectations and Non-Guarantee Clause
While we aim to provide a highly tailored bridal consultation experience, we do not guarantee specific fragrance outcomes, product availability at future dates, or continuity of stock across the bridal timeline.
All recommendations are subject to availability, seasonal variation, and supplier continuity.
6.9 Bridal Gifting Architecture
Where bridal gifting is discussed or structured within consultation, recommendations are advisory only.
my Geisha does not assume responsibility for third-party fulfilment timelines, delivery services, or external event coordination.
6.10 Bridal Service Separation Principle
The Bridal Service remains a consultation service and is not a wedding planning service, logistics service, or event coordination service.
Any interpretation otherwise is expressly excluded.
PART VII — HEALTH, SAFETY, BEHAVIOUR AND SERVICE REFUSAL
7.1 Health, Sensitivities and Client Responsibility
Clients are responsible for informing my Geisha, prior to or during the Consultation Service, of any known allergies, sensitivities, respiratory conditions, dermatological conditions, or other relevant health considerations that may be affected by exposure to fragrance, skincare, bodycare, or cosmetic products.
All product interaction, sampling, and testing is voluntary and undertaken at the client’s own discretion.
Where a client chooses to proceed with product testing despite disclosed or undisclosed sensitivities, such participation is deemed to be at the client’s own informed risk, subject always to statutory protections that cannot be excluded by law.
7.2 Non-Medical Nature of Services
All services provided by my Geisha are non-medical in nature and do not constitute healthcare, dermatological treatment, diagnosis, or clinical advice.
No statement, recommendation, or observation made during a Consultation Service should be interpreted as medical guidance.
Clients requiring medical or clinical advice are directed to consult a qualified healthcare professional.
7.3 Product Interaction and Individual Response
Fragrance and skincare products may interact differently with individual skin chemistry, environment, and personal sensitivity.
my Geisha does not guarantee uniform results, scent projection, skin compatibility, or performance across individuals.
Any adverse reaction following product use is subject to applicable consumer law and manufacturer guidance, where relevant.
7.4 Behavioural Standards
All Consultation Services are delivered within a private luxury retail environment and require respectful conduct at all times.
We reserve the right to manage or terminate an Appointment where behaviour is deemed disruptive, inappropriate, unsafe, or inconsistent with the intended service environment.
This includes, without limitation, conduct that interferes with the consultation process, affects other clients, or places staff under undue pressure or risk.
7.5 Staff Protection and Service Integrity
Our staff are entitled to work in a safe and respectful environment.
We reserve the right to remove any individual from the premises or terminate a service where necessary to protect staff wellbeing, service integrity, or operational continuity.
In such circumstances, the Reservation Fee may be retained where the Consultation Service has commenced or where reasonable allocation of time and resources has already occurred.
7.6 Right to Refuse or Terminate Service
We reserve the right to refuse service, cancel an Appointment, or discontinue a Consultation Service where we reasonably believe that:
continued delivery would compromise safety,
there is abusive or unreasonable conduct,
there is attempted misuse of the service structure, or
operational conditions prevent appropriate service delivery.
Such decisions are made in good faith and are applied consistently where required.
7.7 Environmental and Operational Conditions
Consultation Services may be influenced by environmental factors including but not limited to store conditions, product testing capacity, staffing availability, and operational constraints.
We reserve the right to modify the structure of a Consultation Service where necessary to maintain service quality and safety.
PART VIII — DATA PROTECTION, LIABILITY, COMPLAINTS, FORCE MAJEURE AND GENERAL PROVISIONS
8.1 Data Protection and Privacy
my Geisha processes personal data in accordance with applicable UK data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Personal data is collected and processed solely for the purposes of managing bookings, delivering Consultation Services, processing transactions, fulfilling orders, maintaining client records, and complying with legal obligations.
Full details of how personal data is handled, including retention periods and data subject rights, are set out in our Privacy Policy, which forms a separate legal document.
8.2 Confidentiality of Client Information
We treat client interactions, preferences, and consultation discussions as confidential within the ordinary operation of our business.
Information shared during Consultation Services will not be disclosed to third parties except where required by law, regulatory obligation, or operational necessity for the fulfilment of services.
8.3 Limitation of Liability
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
Subject to the foregoing, and to the fullest extent permitted by law, my Geisha shall not be liable for any indirect, incidental, consequential, or special loss arising from or in connection with the provision of Consultation Services or product purchases.
This includes, without limitation, loss of enjoyment, loss of opportunity, or subjective dissatisfaction with consultation outcomes, provided that services have been delivered with reasonable care and skill.
Where liability is established in relation to a breach of contract, our liability shall be limited to an amount reasonably foreseeable at the time the contract was formed, taking into account the nature of the Consultation Service.
8.4 Complaints and Internal Resolution
We operate an internal complaints resolution process as the primary mechanism for addressing client concerns.
Clients are encouraged to contact us directly to allow us to investigate and resolve any issues in good faith.
We aim to resolve complaints promptly and fairly, taking into account the nature of the Consultation Service and any relevant operational factors.
Escalation to external dispute resolution mechanisms should be considered only after internal resolution has been attempted.
8.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure arises from events beyond our reasonable control.
Such events may include, but are not limited to, severe weather, transport disruption, illness, staffing shortages, supply chain disruption, governmental restrictions, fire, flooding, or other unforeseen operational disruptions.
Where a force majeure event occurs, we may reschedule, modify, or cancel affected Appointments. In such circumstances, we will act reasonably and, where appropriate, offer rescheduling or alternative arrangements.
8.6 Variation of Terms
We reserve the right to amend or update these Terms from time to time.
Any updated version will apply to future bookings made after the date of publication.
Existing confirmed bookings will continue to be governed by the Terms in force at the time of booking, unless required otherwise by law.
8.7 Assignment and Transfer
Clients may not assign, transfer, or resell their booking or any associated rights under this agreement without prior written consent from my Geisha.
We may assign or transfer our rights or obligations under this agreement where reasonably necessary for operational, restructuring, or legal purposes.
8.8 Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a competent authority, that provision shall be deemed severed without affecting the validity and enforceability of the remaining provisions.
8.9 Entire Agreement
These Terms constitute the entire agreement between the client and my Geisha in relation to the subject matter herein and supersede all prior discussions, communications, or representations, whether written or oral.
8.10 Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory statutory rights applicable to consumers.
